This website is operated by SingleSpoke Holdings LLC ("SingleSpoke," "we," "us" or "our"). These Terms of Use ("Terms") govern your access to and use of the website on which they are posted, including its content, publications and inquiry features (the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to agree to these Terms for that organization.
02General information and no securities offer
The Site provides general information about SingleSpoke, its business-building approach and its perspectives on established industries and technology. The Site is not an offer to sell, or a solicitation of an offer to buy, any security, fund interest or other investment. No capital commitment or investment subscription can be made through the Site.
Any investment opportunity that may be made available by SingleSpoke or an affiliate would be offered only through appropriate separate offering and subscription documents, to eligible persons and in accordance with applicable law. Those documents, including their risk factors, fees, expenses and conflicts disclosures, would govern that investment. Nothing on the Site represents that an investment opportunity is available to you or suitable for you.
The Site is not directed to any person in a jurisdiction where its distribution or use would violate applicable law. Nothing on the Site should be understood as approval or endorsement of SingleSpoke or any investment by the U.S. Securities and Exchange Commission or any other regulator.
03No personalized advice or professional relationship
The Site does not provide personalized investment, legal, tax, accounting or other professional advice and does not take account of your objectives, financial circumstances or needs. You should obtain advice from your own qualified advisers before making an investment or other significant financial decision.
Accessing the Site, requesting a publication or communicating through the Site does not, by itself, establish an investment advisory, fiduciary, brokerage or other professional relationship with SingleSpoke or its personnel. Any such relationship would require separate arrangements. This paragraph does not disclaim any duty imposed by applicable law.
04Business risks and statements about the future
Descriptions of our thesis and business-building process express an approach, not a promise of results. Creating businesses, adopting technology and pursuing acquisitions involve substantial operational, competitive, financial and execution risks. Investments can be illiquid and can result in the loss of the entire amount invested. Technology adoption, customer acquisition and acquisition integration may not produce the anticipated benefits.
Statements concerning plans, expectations, opportunities, strategies or future developments reflect views as of the date stated or, if no date is stated, the date the content was prepared. They involve assumptions and uncertainties, and actual events and results may differ materially. We undertake no obligation to update those statements except as required by law. Whitepapers and other publications made available through the Site are provided for general informational purposes and must be read with their accompanying disclosures, assumptions and limitations. They are not a substitute for investment-specific diligence or offering documents.
Requesting or receiving a publication, submitting contact information or accepting these Terms does not establish investment eligibility, verify accredited investor or other investor status, or by itself create a pre-existing, substantive relationship for purposes of a private securities offering. It does not entitle you to receive offering materials or participate in an investment. We may review requests and limit or decline access.
Any references to investments, businesses or experience should be read with their accompanying attribution. Experience of our personnel at other firms is not SingleSpoke investment performance. Any separate confidentiality or access conditions expressly agreed for particular materials continue to apply.
06Inquiries and career submissions
You may use the Site to submit general inquiries, publication requests and expressions of career interest. Provide accurate information and submit only material you are authorized to share. Please do not send confidential business information, trade secrets or sensitive personal information, such as government identification numbers, financial account details or medical information, through general inquiry or career forms.
Except under a separate agreement or as required by law, submitting business information through a general inquiry form does not create a confidentiality obligation. This does not limit our obligations concerning personal information under applicable law and our Privacy Notice. You retain ownership of materials you submit; submission does not transfer ownership to SingleSpoke.
Submitting information does not obligate us to respond, provide a publication, enter into a transaction or offer employment. Career categories and descriptions do not necessarily indicate that a position is currently open and do not constitute an employment offer.
07Privacy
Our Privacy Notice, linked on the Site, explains how we collect, use and disclose personal information and describes applicable rights and choices. Please review it before submitting information. These Terms do not replace that notice or any consent required by applicable privacy law. Internet communications may not be secure; use an agreed secure channel for sensitive information.
08Intellectual property and permitted use
The Site and its text, graphics, designs, logos and other materials are owned by SingleSpoke or its licensors and are protected by intellectual property laws. Subject to these Terms and any specific restrictions accompanying a publication, you may view, download and print reasonable portions for your personal use or your organization's internal informational evaluation, retaining copyright and other proprietary notices.
Except as permitted by law or with our prior written permission, you may not republish, sell, license, commercially distribute or modify Site materials, or use our name or marks in a way that suggests sponsorship, endorsement or affiliation. No ownership rights or trademark license are granted by your use of the Site.
09Prohibited use and restricted access
You may not use the Site unlawfully; submit fraudulent, infringing or malicious material; impersonate another person; introduce harmful code; disrupt the Site; harvest personal information; or attempt to gain unauthorized access to systems or restricted materials. You may not circumvent access controls or use automated tools in a manner that damages, materially burdens or compromises the Site.
If we provide credentials or restricted access, use them only as authorized, keep them confidential and do not share them. We may suspend or terminate access to protect the Site, comply with law or address a breach of these Terms.
10Third party content and links
The Site may link to third party websites or refer to third party information. Those websites are subject to their own terms and privacy practices. A link alone does not imply endorsement, sponsorship or affiliation. We do not control third party websites or guarantee their content, availability or security. This paragraph does not limit responsibility that applicable law imposes on us for statements we make or content we adopt.
11Availability and warranties
Subject to Section 13 and to the fullest extent permitted by law, the Site is provided "as is" and "as available," without express or implied warranties, including warranties of merchantability, fitness for a particular purpose or noninfringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that every item of content will remain complete, current or available.
We may correct, modify, suspend or remove Site content or features. These provisions do not excuse false or misleading statements or omissions, or displace any obligation imposed by applicable law.
12Limitation of liability
Subject to Section 13 and to the fullest extent permitted by law, SingleSpoke, its affiliates and their respective personnel will not be liable for indirect, incidental, special, consequential or punitive damages arising out of your access to or use of, or inability to access or use, the Site, even if advised of the possibility of such damages.
This limitation does not apply to fraud, fraudulent misrepresentation, gross negligence, willful misconduct or any liability that applicable law does not permit to be excluded or limited.
13Preservation of legal rights
Nothing in these Terms requires you to waive compliance with applicable federal or state securities laws, or excludes or limits any duty, liability, right or remedy that cannot lawfully be excluded or limited. The disclaimers and limitations in these Terms apply only to the extent permitted by law. Nothing restricts your ability to communicate with, provide information to, or file a complaint with any governmental or regulatory authority.
14Changes to these Terms
We may revise these Terms by posting an updated version and changing the date above. Changes apply prospectively. We will provide additional notice and obtain acceptance where required by applicable law. Subject to those requirements, your continued use of the Site after the effective date of an update constitutes acceptance of the revised Terms. Changes do not retroactively alter rights or obligations arising before their effective date.
15Governing law and general provisions
These Terms are governed by the laws of New York and applicable U.S. federal law, without regard to conflict-of-law principles. Subject to mandatory applicable law and any nonwaivable right to another forum, proceedings concerning these Terms or use of the Site must be brought in the state courts located in New York, NY or the U.S. federal courts serving that location, as applicable. You and SingleSpoke consent to those courts' jurisdiction.
If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision is not a waiver. These Terms govern use of the Site only and do not amend or supersede a separate written confidentiality, advisory, investment, employment or other agreement. Provisions that by their nature should continue after use of the Site ends will survive, subject to Section 13.
